The agreement

These terms govern use of Mizan, operated by Point of Trade Co. By using Mizan you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to do so.

What Mizan does — and does not do

Mizan converts finished IFRS financial statements into a valid XBRL filing, and checks that filing against structural and calculation rules before you submit it.

Mizan is not an accountant, an auditor, or a filing agent. It does not prepare your books, exercise professional judgement, or submit on your behalf. The figures you enter, and the decision to file them, remain yours.

Mizan is independent of the Ministry of Commerce and Industry. It is not affiliated with, endorsed by, or operated by the Ministry. “Qayd” is the Ministry’s own portal, and submission is made to the Ministry through it.

Validation is a check, not a guarantee

Mizan runs the structural and calculation checks that a filing must pass. Passing those checks means the filing is well-formed and internally consistent — it does not mean the figures are correct, complete, or compliant with your obligations, and it is not a guarantee that the Ministry will accept it.

Responsibility for the accuracy of the figures rests with you and your auditor.

Your account

• Keep your credentials confidential and tell us promptly if you believe they have been compromised.
• You are responsible for the people you invite and for what they do in your account.
• API keys act with the permissions you grant them. Treat a key as you would a password, and revoke it when it is no longer needed.
• Do not attempt to reach another customer’s data, disrupt the service, or use it to break Kuwaiti law.

Availability

We aim to keep Mizan available and will give notice of planned maintenance where we reasonably can. We do not promise uninterrupted availability, and you should not leave a statutory filing to the final hours of a deadline.

Fees

Pricing has not yet been published. Where fees apply they will be stated before you are asked to commit to them, charged per filing entity and billed annually unless agreed otherwise in writing.

Your data

Your filing data is yours. We claim no ownership of it and use it only to provide the service, as described in the Privacy Policy. You can export your XBRL filings at any time while your account is active.

Suspension and ending

You may stop using Mizan at any time. We may suspend an account for non-payment or for use that breaches these terms.

Suspension stops new work. It does not delete your filings — see the retention section of the Privacy Policy.

Liability

Nothing here excludes liability that cannot lawfully be excluded. Subject to that, Mizan is provided without warranty beyond what is stated in these terms, and our aggregate liability is limited to the fees you paid in the twelve months before the claim.

We are not liable for penalties arising from a late or rejected filing, from figures that were incorrect when entered, or from a deadline missed for reasons outside our control.

Governing law

These terms are governed by the laws of the State of Kuwait, and the courts of Kuwait have jurisdiction.
